I authorize Embark Beyond to charge the credit card or bank account indicated on this invoice for the noted amount on today's date. This payment is for the services described on the invoice. I understand that all payments made to Embark Beyond are non-refundable. I certify that I am an authorized user of this credit card and that I will not dispute the payment with my credit card company, so long as the transaction corresponds to the terms indicated on this invoice.

 

THIS WATERCOLOR WORKSHOP TERMS & CONDITIONS (the “Terms & Conditions”) is made and entered into on August 19, 2024 (the “Effective Date”) between the attendee (the “Attendee”) and PAINT BY DESTINATION, LLC. (“Paint By Destination”) (collectively referred to herein as the “Parties” and individually as a “Party”).

IN CONSIDERATION of the foregoing and of the mutual covenants set forth below, the Parties, intending to be legally bound, agree as follows:

1. Event Details

1.1 DATE:

August 19, 2024 – August 26, 2024. These dates do not include any pre or post cruise organization made on behalf of the Client by Paint By Destination. In this case, both Parties must agree to additional trip management and organization outside of these Terms & Conditions Agreement.

1.2 ACCOMMODATION:

2. Attendee Fee

The Watercolor Workshop is hosted by Paint By Destination, an affiliate of Embark Beyond. The cost to attend this program starts at $4,497 USD for a shared room painter fee.

2.1 Deposit and Final Payment: 

The Attendee is required to submit a $400 USD deposit to secure his or her stateroom at the time of booking. Unless otherwise noted, $200 of the $400 deposit is non-refundable. The remaining cost of the program is due 90 days prior to the workshop start date

3. Travel Expenses

Attendee is responsible for his or her own travel arrangements, meals, and other expenses not included in the policy inclusions (Section 1.3) above. Paint By Destination does not include the following: Airfare to and from the embarkation and disembarkation port cities, Airport transportation, Passport fees, Baggage fees, Travel, health, accident or other insurance, Vaccinations, Laundry, Additional food and beverages, Optional excursions, Gratuities or other items of a personal nature.

4. Media Release

Unless otherwise agreed, the Attendee grants Paint By Destination permission to use the Attendee’s image (photographs and/or video) for use in Media publications including, but not limited to: Videos, Email Campaign, Recruiting Brochures, Newsletters, Magazines, General Publications, Websites and/or Affiliates, Social Media Campaigns across social media channels. 

The Attendee hereby waives any right to inspect or approve the finished photographs or electronic matter that may be used in conjunction with them now or in the future, whether that use is known to the Attendee or unknown. The Attendee waives any right to royalties or other compensation arising from or related to the use of the media.

5. Cancellation/Travel Disruption Policy.

In the event of inclement weather and/or a travel cancellation, the Attendee will make all reasonable attempts to arrange alternative travel plans to arrive in time for the Watercolor Workshop he or she signed up for. If travel proves impossible despite reasonable attempts, the Attendee’s cancellation fee may be waived if agreed upon by Paint By Destination. 

5.1 PAINT BY DESTINATION OR CRUISE LINE CANCELLATION.

In the event that Paint By Destination decides to cancel or change the date of the event for any reason besides weather or similar unforeseen causes outside of Paint By Destination’s control, Paint By Destination will still be responsible for reimbursement of any non-refundable travel expenses already incurred by the Attendee.

5.2 ATTENDEE CANCELLATION.

In the event that the Attendee must cancel after a deposit was made, $200 of the $400 deposit will be non-refundable. 

In the event that the Attendee must cancel due to health and/or similar unforeseen circumstances, the Attendee will make all attempts to find reasonable, alternative arrangements and will absorb any incremental additional costs for obtaining alternative travel arrangements. If an alternative date cannot be obtained, Paint By Destination will not be responsible for any travel costs already incurred by the Attendee. 

Other forms of notice are not sufficient. Cancellations received within 24 hours of vacation start date will be deemed as trip interruption, cannot be cancelled and are 100% non-refundable. The effective date of the cancellation is the date Paint By Destination receives cancellation notice. A change in sailing date , name changes, the substitution of a participant or a reduction in the number of guests in a stateroom are treated as a cancellation in that all applicable cancellation charges apply. A reduction in occupancy is subject to a single supplement charge . Cancellation charges for bookings within charter and charter agreements are as per the charter contract. All other cancellation charges are per-person, based on the cancellation date, as seen in the chart below.

You acknowledge that your cancellation will cause us and the Carrier difficulty in selling a replacement cruise or cruise & land reservation and thus the cancellation fees described below apply regardless of whether your cruise or cruise & land reservation is resold. You agree that any losses sustained by us and /or the Carrier in the event of cancellation would be very difficult or impossible to quantify , and the cancellation fees are fair and reasonable as liquidated damages. 

6. Limitation of Liability

In no event will either Party be liable to the other for any claim or cause of action requesting or claiming any incidental, consequential, special, indirect, statutory, punitive or reliance damages. Any claim or cause of action requesting or claiming such damages is specifically waived and barred. Damages prohibited under this Agreement will include, without limitation, damage or loss of property or equipment, loss of profits, revenues or savings, cost of capital, cost of replacement service, opportunity costs and cover damages. 

6.1 Required Travel Documents


It is the guest’s responsibility to obtain and possess all valid travel documents for their vacation. This includes acquiring all visas and immunizations required for their nationality by all countries on the itinerary.

6.2 Passports 

All guests traveling with AmaWaterways are required to carry a valid passport . Passports must be valid for at least six (6) months for travel to Europe, Asia and Africa, including Egypt, after the scheduled return date to your home country. For travel to Africa and Egypt we require your passport information at the time of deposit , and for travel to Asia prior to or at final payment .

6.3 Visas 

At publication time, a visa is required for a US citizen to travel to Turkey , Vietnam, Cambodia, Egypt, Jordan, Rwanda, Tanzania and Zimbabwe (as well as numerous other countries). Guests should check with the consulate of each country they will visit, or a visa service, to verify current regulations and be aware entry requirements may change without prior notice. Obtaining required visas and any other required travel documentation and assuring these are complete and correct in all ways, is the sole responsibility of each participant.

As an option available to guests , required visas may be obtained through an independent third-party visa service provider, Visa Central. For more information, please visit their website at www.VisaCentral.com/AmaWaterways.

Visas required for travel to Turkey may be obtained through the Ministry of Foreign Affairs of the Republic of Turkey . It is recommended to complete the online application prior to departure and provide necessary documentation at the airport. For more information, please visit their website at www.evisa.gov.tr/en/.

6.4 Special Requests: Please advise us, at the time of reservation, of any special dietary or services requests you may have so that every effort can be made to accommodate you as best as possible . Travel Documents: Only after receipt of full payment, Digital Travel Documents (including airline confirmation information, if applicable) will be sent via email, approximately 3-4 weeks prior to

departure. (Delay in final payment will delay delivery of Digital Travel Documents .) Requests for expedited Digital Travel Documents may be possible for an additional charge .

6.5 Travel Protection

Paint By Destination strongly recommends the purchase of travel protection to guard against unforeseen situations and to protect your travel investment. Please contact us at megan.kline@embarkbeyond.com or contact@paintbydestination.com to inquire about your protection options. Alternatively, please ask an AmaWaterways representative for AmaWaterways travel protection options It is the sole responsibility of the guest or travel advisor to ask for travel protection at time of initial payment or at time of final payment.

NOTE: All information pertaining to AIG / Travel Guard Cruise Protection Plan as detailed above , must conform to the aforementioned payment periods as noted for Pre-Existing Medical Conditions. Should these conditions not apply and therefore the Pre-existing Medical Condition Exclusion is not required, this Cruise Protection Plan may be purchased at any other time during the course of the reservation, up to and including full and final payment on the booking. Cruise Protection Plan is non-refundable, non-transferable to another guest or sailing, and may not be included once full and final payment has been received by AmaWaterways .

Payment timelines indicated above does not apply to the supplemental AmaWaterways Travel Waiver Plus, which must be purchased at time of cruise deposit only and cannot be purchased at any time thereafter. 

7. Mutual Indemnification.

Each Party shall defend, indemnify and hold harmless the other Party from and against all claims of third-parties, and all associated losses, to the extent arising out of (a) a Party’s gross negligence or willful misconduct in performing any of its obligations under this Agreement or (b) a material breach by a Party of any of its representations, warranties, covenants or agreements under this Agreement.

8. Governing Law & Dispute Resolution.

8.1 MEDIATION.

The Parties agree to use good faith efforts to resolve any dispute, controversy or claim arising out of or in connection with, or relating to, this Agreement or any breach or alleged breach hereof promptly and fairly. If after thirty (30 days of mediation, the Parties are unable to resolve a dispute by mediation, the Parties agree to submit to arbitration as provided below.

8.2 ARBITRATION.

Any dispute or claim that arises out of or relates to this Agreement shall be resolved by arbitration in accordance with the then effective arbitration rules of (and by filing a claim with) the American Arbitration Association (“AAA”), and judgment upon the award rendered pursuant to such arbitration may be entered in any court having jurisdiction thereof. Any such arbitration proceedings shall solely be conducted in Nueces County, Texas, United States of America.

9. Counterparts & Electronic Signatures

This Agreement may be executed in two or more counterparts, each of which shall be deemed to be an original, but all of which shall constitute one and the same agreement. This Agreement is signed when a Party’s signature is delivered via email and/or via any other electronic medium. The Parties’ electronic signatures shall be treated in all respects as having the same force and effect as original signatures.

10. Force Majeure.

A Party will not be considered in breach of or in default because of, and will not be liable to the other Party for, any delay or failure to perform its obligations under this Agreement by reason of fire, earthquake, flood, explosion, strike, riot, war, terrorism, or similar event beyond that Party’s reasonable control (each a “Force Majeure Event”). However, if a Force Majeure Event occurs, the affected Party shall, as soon as practicable: (a) notify the other Party of the Force Majeure Event and its impact on performance under this Agreement; and (b) use reasonable efforts to resolve any issues resulting from the Force Majeure Event and perform its obligations under this Agreement.

11. Safe Working Environment for In-Person Event

Paint By Destination agrees to undertake its best efforts to ensure that the Attendee is provided with a safe working environment. The Attendee retains the right to cancel the remainder of any services in the event Paint By Destination, Paint By Destination’s guests and/or attendees at any event location commit any instances of sexual harassment, violence, threats and/or other similar behavior that would lead a reasonable person to feel unsafe in such an environment. In the event of such cancellation, Paint By Destination shall not be entitled any refund.
